CASH CALL CASH CONTEST

1. The Tom Joyner Morning Show® Cash Call Cash Contest (sometimes referred to as “Contest”) begins on Wednesday, February 1, 2006 and ends on Friday, December 15, 2006 (the “Contest Period”) unless terminated earlier by Sponsor. The Tom Joyner Morning Show® Cash Call Contest will be conducted in real time on the Tom Joyner Morning Show® National Radio Program.

2. NO PURCHASE NECESSARY. No purchase necessary to enter or win. The Contest is void where prohibited by law and is subject to all federal, state and local laws and regulations. Void in Puerto Rico.

3. HOW TO WIN OR HOW TO ENTER: During the Contest Period, each entrant must call 1-877-TJMS-WIN during the Tom Joyner Morning Show and be the tenth (10th) caller. The caller will be asked to correctly identify the three (3) numbers one at a time in same order as they were announced on The Tom Joyner Morning Show®. The caller will be asked to correctly identify the first (1st) number for a cash prize determined by Reach Media, Inc.; if the 1st number is identified correctly the caller then will be asked to correctly identify the second (2nd) number for an additional cash prize determined by Reach Media, Inc.; if the caller identifies the 2nd number correctly the caller will then be asked to correctly identify the third (3rd) number for an additional cash prize determined by Reach Media, Inc. If the caller fails to correctly identify the numbers in the order assigned, he/she will not be allowed to identify subsequent numbers and will only retain the cash prize, if any, he/she won for correctly identified numbers. After determination of winner(s), if any, is made for any correctly identified number(s) by caller #10, the caller will be asked to pick a name from the Cash Call Friends List from BlackAmericaWeb.com. The person the caller selects (Friend) from the Cash Call Friends List may be called and will be required to identify the correct numbers in the same order as the 10th caller to win. The friend will be asked to correctly identify the three (3) numbers one at a time in the same order as they were announced on The Tom Joyner Morning Show®. The friend will be asked to correctly identify the first (1st) number for a cash prize determined by Reach Media, Inc.; if the 1st number is identified correctly, the friend will be asked to correctly identify the second (2nd) number for an additional cash prize determined by Reach Media, Inc.; if the friend identifies the 2nd number correctly, the friend will be asked to correctly identify the third (3rd) number for an additional cash prize determined by Reach Media, Inc. If the friend fails to correctly identify the 1st or 2nd number, he/she will not be allowed to identify subsequent numbers and will only retain the cash prize, if any, he/she won for correctly identified numbers.

4. ELIGIBILITY RESTRICTIONS. The Contest is offered and open to all U.S. citizens, 21 years of age or older EXCEPT employees of the Tom Joyner Morning Show, Tom Joyner Morning Show affiliate radio stations, Tom Joyner Show, Tom Joyner Show affiliate television stations, Reach Media, Inc., BlackAmericaWeb.com, Inc, Radio One, Inc., (collectively “Sponsor”), their subsidiaries and affiliated companies and their immediate family members and those living in their same households.

5. Only one (1) Winner per household is permitted each sixty (60) days during the Contest Period. For purposes of the Contest, “household” shall be defined as persons living at the same street address, either full or part time, whether or not such individuals are legally related or not.

6. PRIZES/APPROXIMATE RETAIL VALUE (ARV): Each Winner will receive a cash prize to be determined by Reach Media, Inc. Reach Media, Inc. will use reasonable efforts to mail to each Winner the cash prize within six to eight weeks from the date of winning.

7. By participating, participants agree to abide by these Official Rules and the decisions of Sponsor, which are final and binding in all respects. Winners will be required to complete, sign, have notarized and return an Affidavit of Eligibility and Release and a Publicity Release (where legal) within thirty (30) days of notification. Winners will be required to sign an IRS Form W-9 prior to the acceptance of the prize. Appropriate identification required for all prizes as determined by Reach in its sole discretion. Failure to return documents in a timely manner, or if a prize notification is returned as non-deliverable, will result in forfeiture of the prize and an alternate Winner may be selected at Sponsor’s sole discretion.

8. Winners agree that Sponsor, and each of their parent, affiliate and subsidiary companies, and their advertising and promotion agencies, and all of their respective officers, directors, employees, independent contractors, salespeople, representatives and agents are released from all liability whatsoever, and will be held harmless by Winner, for any liability for injuries, losses or damages of any kind to person, including without limitation, death and property, resulting in whole or in part, directly or indirectly from the acceptance, possession, use or misuse of the prize, participation in a contest-related activity, or participation in this Contest. By entering, participants acknowledge that Sponsor has neither made, nor is in any manner responsible for, any warranty, representation or guarantee, express or implied, in fact or in law, relative to the prizes. By accepting the prize, Winner consents, where lawful, to the use of his/her name, portrait, picture, hometown name, and/or voice for publicity, advertising and promotional purposes worldwide and on the World Wide Web, without additional compensation, and without the right of review. Any attempt to defraud Sponsor in any way will result in disqualification of participant, and such participant will be prosecuted to the fullest extent of the law. Winners will be issued an IRS form 1099 and the value of the prize might be considered taxable income to the Winners. All taxes, if any, are the sole responsibility of the Winners.

10. Sponsor reserves the right to make changes in the rules of the Contest in its sole discretion at any time without notice, including, but not limited to the substitution of a prize or prizes, which will become effective immediately.

11. Failure to comply with these Official Rules may result in participants’ disqualification at the sole discretion of Sponsor.

12. Sponsor is not responsible for typographical or other errors in the printing, the offering, or the administration of the Contest or in the announcement of a prize.

13.
